How these terms apply
Part A governs use of this website. Part B applies only to a business-to-business sale of Goods by Swiss CNC Ltd where Part B has been supplied to the Buyer, or otherwise brought reasonably to the Buyer’s attention, before the Contract is formed. A Contract is formed only when Swiss CNC Ltd confirms acceptance of the Buyer’s order in writing or delivers the Goods. If terms conflict, the order of priority is: (1) any specific term expressly agreed in writing for that transaction; (2) Part B; and (3) Part A. Terms first supplied after the Contract is formed do not vary it unless both parties agree in writing. Nothing in either Part excludes or restricts any liability, right or remedy that cannot lawfully be excluded or restricted.

The Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of our products or services.
Intellectual Property

TERMS & CONDITIONS OF SALE
Definitions
#"Seller" means Swiss CNC Ltd.
"Buyer" means the purchaser named on the invoice or quotation.
"Goods" means all machinery, CNC equipment, ancillary equipment, tooling, bar feeders, swarf conveyors, extraction units, coolant systems, automation equipment, spare parts, accessories and any associated items supplied.
Business Sales Only
#The Buyer confirms that:
- they are purchasing for business purposes;
- they possess sufficient technical knowledge to inspect and assess the Goods;
- they are not relying upon any statement, opinion or representation made by the Seller other than those contained within the written sales invoice.
Consumer legislation shall not apply.
Entire Agreement
#These Terms constitute the entire agreement between the parties.
No verbal statements, demonstrations, discussions, emails or marketing materials shall form part of the contract unless expressly incorporated in writing.
Sold Strictly As Seen
#ALL GOODS ARE SOLD STRICTLY "AS SEEN", "AS INSPECTED", "AS LYING", "WITH ALL FAULTS" AND WITHOUT WARRANTY OF ANY KIND.
The Buyer acknowledges that they have had adequate opportunity to inspect the Goods before purchase.
Failure to inspect shall not invalidate these Terms.
No Warranty
#To the fullest extent permitted by law:
The Seller gives NO:
- express warranty
- implied warranty
- statutory warranty
- merchantability warranty
- fitness for purpose warranty
- quality warranty
- durability warranty
- performance warranty
All implied terms under the Sale of Goods Act 1979, Supply of Goods and Services Act 1982 and any similar legislation are excluded so far as legally permissible.
Condition
#Unless specifically stated in writing:
The Seller makes no representation whatsoever regarding:
- accuracy
- repeatability
- spindle condition
- geometry
- alignment
- electrical condition
- mechanical condition
- hydraulic condition
- pneumatic condition
- coolant systems
- lubrication systems
- guarding
- safety systems
- software
- control systems
- PLC programmes
- macro programmes
- tooling
- accessories
- manuals
- hours displayed
- age
- service history
- previous maintenance
- cosmetic condition
- conformity with manufacturer specifications.
Hours
#Displayed spindle hours, cutting hours, power-on hours or cycle counts are provided for information only.
The Seller makes no warranty whatsoever regarding their accuracy.
Tooling & Accessories
#Any tooling, holders, collets, chucks, guide bushes, bar feeders, extraction systems, swarf conveyors, coolant units, automation equipment or accessories supplied are included without warranty and may require servicing, repair or replacement.
Buyer Inspection
#The Buyer confirms they have either:
- inspected the Goods personally;
or
- elected not to inspect.
In either case the Buyer accepts full responsibility for their purchase.
Acceptance
#Once any of the following occurs:
- payment received
- invoice issued
- collection
- loading
- delivery
- removal from site
the Goods shall be deemed fully accepted.
No rejection shall thereafter be accepted.
Returns
#No returns shall be accepted.
No refunds shall be made.
No exchanges shall be offered.
Deposits
#All deposits are strictly non-refundable unless agreed otherwise.
Payment
#Unless otherwise agreed in writing:
Payment is by cleared funds prior to collection.
Ownership shall not pass until payment has cleared.
Title
#Ownership remains with the Seller until payment has been received in full.
Risk passes upon collection or delivery.
Delivery
#Delivery dates are estimates only.
The Seller shall not be liable for delay.
Installation
#Unless specifically included in writing:
The Seller provides no installation.
Should installation be provided:
The Buyer remains responsible for:
- foundations
- services
- lifting (unless agreed prior or using our service)
- access
- electrical supply
- compressed air
- extraction
- guarding
- compliance
Commissioning
#Commissioning does not constitute certification that the machine is:
- accurate
- production ready
- safe
- compliant
The Buyer must independently verify suitability.
CE / UKCA / Safety
#The Buyer accepts full responsibility for ensuring compliance with:
- PUWER
- Health & Safety at Work Act
- CE requirements
- UKCA requirements
- electrical regulations
- guarding requirements
The Seller gives no warranty that the Goods comply with current legislation.
Software
#No warranty is given regarding:
- software licences
- parameters
- backups
- PLC data
- macro programmes
- passwords
- offsets
- tooling data
Transport
#Loading assistance is provided entirely at the Buyer's risk.
The Seller accepts no liability whatsoever for:
- loading
- lifting (unless agreed prior or using our service)
- transport
- unloading
- damage during transit
Limitation of Liability
#To the fullest extent permitted by law, the Seller shall not be liable for:
- loss of profit
- production downtime
- consequential loss
- indirect loss
- business interruption
- loss of contracts
- loss of goodwill
- wasted labour
- tooling damage
- damaged workpieces
- programming costs
- transport costs
- installation costs
- removal costs
- decommissioning costs
- third-party claims.
Where liability cannot legally be excluded, the Seller's total liability shall not exceed the purchase price actually paid for the Goods.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded.
Force Majeure
#The Seller shall not be liable for delays or failure caused by events beyond its reasonable control.
Governing Law
#These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
Acceptance of Terms
#By paying any deposit, making payment, signing a quotation, signing a delivery note, collecting the Goods or accepting delivery, the Buyer confirms that they:
- have read these Terms;
- understand these Terms;
- accept these Terms in full;
- waive any right to reject the Goods for defects that were or could reasonably have been identified on inspection;
- acknowledge that the Goods are purchased entirely at their own risk.
